Indemnity Disclaimer

Disclaimer of Liability and Indemnity

Neoworx AI (LLC) including its directors, employees, contractors, and affiliates (collectively referred to as “Neoworx AI”), shall not be held liable for any loss, damage, liability, or expense of any nature whatsoever which may be suffered by any person or entity as a result of, or attributable, directly or indirectly, to the use of any services, products, systems, advice, or support provided by Neoworx AI.

By accepting our quotation, engaging our services, or using any of our platforms, you agree that:

1. Limitation of Liability

Neoworx AI shall not be responsible for any direct, indirect, incidental, consequential, punitive, or special damages, including but not limited to loss of profits, data, productivity, revenue, reputation, business interruption, or security breaches—even if advised of the possibility of such damages—arising from:

  • The use or inability to use any service or product we provide;
  • Any misconfiguration or failure of systems or hardware;
  • Delays, interruptions, or errors in service delivery;
  • Cybersecurity incidents, data breaches, or loss of data occurring within the client’s environment, regardless of whether our services are active at the time of the incident.

2. Third-Party Services

Neoworx AI shall not be held liable for any failure, error, delay, or damage arising from third-party services or providers, including but not limited to:

  • Internet Service Providers (ISPs), software vendors, hosting providers, cloud platforms, or telecommunication companies;
  • Hardware or software faults due to manufacturing or development defects;
  • Subcontractors or partner vendors we engage on your behalf.

3. Security & Data Protection

While Neoworx AI implements industry best practices and tools to protect client environments, we cannot guarantee the prevention of all cyberattacks, malware infections, data breaches, unauthorized access, or data loss. Clients retain full responsibility for the security and integrity of their internal systems, user practices, credentials, and access control policies.

We encourage the adoption of multi-layered security strategies, including but not limited to endpoint protection, user training, secure backups, encryption, and incident response planning.

4. Force Majeure

Neoworx AI shall not be liable for any delay or failure in performance due to causes beyond our reasonable control, including but not limited to natural disasters, pandemics, war, strikes, civil disturbances, power outages, supply chain disruptions, or governmental actions.

5. Indemnification

The client agrees to indemnify, defend and hold harmless Neoworx AI from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorney’s fees) arising out of or related to:

  • The use or misuse of our services;
  • Breaches in security, data loss, or system failure within the client’s environment;
  • Failure to implement recommended safeguards or configurations;
  • Any breach of these terms or violation of applicable laws.

By accepting our quotation, engaging our services, or using our platforms, you acknowledge that you have read, understood, and accepted this disclaimer.
